1. Service description
ScopeGuard AI is an AI-assisted tool designed to help contractors and trades compare an original project scope with a customer's new request and identify potential scope differences. The app is operated by Syncera AI Systems.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use ScopeGuard. By creating an account or using the service, you represent that you meet these requirements.
3. AI-generated content
ScopeGuard uses artificial intelligence to generate classifications, customer messages, and change order summaries. AI outputs may be inaccurate, incomplete, or inappropriate. You must review outputs before sending them to customers, changing project scope, performing work, setting prices, or relying on generated change-order language. ScopeGuard does not guarantee accuracy, is not a substitute for legal or professional review, and does not create an attorney-client, contractor-customer, or agency relationship.
4. Important disclaimers
ScopeGuard is not a law firm, does not provide legal advice, does not determine legal rights or obligations, does not determine whether a change order is legally enforceable, does not guarantee customer payment, does not set contractor pricing, and does not replace professional judgment. You remain responsible for your contracts, estimates, prices, communications, and business decisions.
5. User content
You retain responsibility for the content you submit to ScopeGuard, including project scopes, customer requests, and change order details. You must have the necessary rights or permissions to submit any customer or project information, and you must not submit information you are prohibited from sharing.
6. Acceptable use
You may not use ScopeGuard for unlawful purposes, fraudulent purposes, to bypass usage limits, to interfere with the service or its security, to gain unauthorized access, or to violate third-party rights. We may suspend or terminate accounts for misuse.
7. Subscriptions and billing
New accounts receive a limited number of free analyses. Paid plans are offered as recurring subscriptions. Pricing is displayed before purchase. Subscriptions automatically renew unless canceled. Billing is processed by a third-party payment processor (Stripe), and you agree to their terms as applicable. Applicable taxes may be charged.
8. Cancellation
You can cancel your subscription at any time through the billing portal linked in your Account page. Cancellation prevents future renewals but does not necessarily create a refund. Your access generally continues until the end of the current billing period.
9. Intellectual property
ScopeGuard and its underlying software, branding, and content are owned by Syncera AI Systems. We grant you a limited, non-exclusive, non-transferable license to use the service for its intended purpose during your subscription or free trial period.
10. Third-party services
ScopeGuard relies on third-party service providers where required to operate, including OpenAI for AI processing, Stripe for payment processing, and hosting, authentication, and database infrastructure used by the application. Your use of the service is also subject to the applicable terms of those providers.
11. Disclaimers
The service is provided on an “as is” and “as available” basis without warranties of any kind. To the fullest extent permitted by law, ScopeGuard and Syncera AI Systems disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law, ScopeGuard and Syncera AI Systems are not liable for indirect, incidental, or consequential damages arising from your use of the service, including any business dispute or contract issue based on generated content. Our total liability is limited to the amount you paid for the service in the 12 months before the claim.
13. Indemnification
You agree to indemnify and hold harmless Syncera AI Systems and its representatives from claims arising out of your use of the service, your content, or your violation of these terms, where legally appropriate.
14. Termination
We may suspend or terminate your access if you violate these terms or if necessary to protect the service or comply with law. You may stop using the service at any time. Upon termination, your rights to use the service end immediately, but provisions that by their nature survive termination continue.
15. Changes to the service
We may update these Terms, the service, or pricing from time to time. We will post updated Terms with a new effective date. Continued use after changes means you accept the updated Terms.
